9. Remote Area Surcharge

10. Liability Limitations

To the fullest extent permitted under applicable law, S&H and its service providers—including logistics, payment, and software partners—shall not be held liable for any of the following:

Loss of revenue, profit, data, or goodwill
Inability to use the service or product due to circumstances beyond reasonable control
This limitation applies whether the loss arises from contract, negligence, tort, or other legal grounds.
3. Third-Party Services
S&H integrates third-party providers (e.g., DHL, Payoneer, Shopify, and more) to enhance logistics, payment processing, and eCommerce operations. However, any contractual, financial, or legal relationship formed between you and these third parties is independent of S&H. We are not liable for their service failures, delays, or losses.
4. User Obligations and Accuracy of Information
You are responsible for ensuring that all submitted order details are accurate, including:
Product name, specifications, size, model
Quantity and pricing
Delivery address, recipient details, and contact information
Once an order is placed by clicking “Submit,” you confirm that all provided information is final and accurate. Any errors resulting from incorrect data entry or third-party interference fall under your responsibility.
5. Malicious or Fraudulent Behavior
You agree to engage in authentic, good-faith transactions. Malicious behavior such as:
Placing fake or extortion-driven orders
Abusing refund/resend policies
Manipulating platform vulnerabilities or prices
…will result in suspension, cancellation, or permanent blocking of your account, at S&H’s sole discretion.
6. System Errors and Price Accuracy
Due to the technical nature of digital commerce, information displayed on the platform (including prices and availability) may occasionally be inaccurate due to system delays or errors.
If you knowingly proceed with a purchase based on an obviously incorrect price or detail (e.g., a luxury bag priced at $1), your order may be canceled and flagged for review.
7. Customs, Duties & Taxes
You are solely responsible for understanding and complying with all tax, tariff, or customs requirements in your delivery region. S&H does not assume responsibility for:
Duty payments
Value-added tax (VAT)
Product detention or legal issues due to unpaid or mishandled customs

8. Sourcing Disclaimer
When utilizing sourcing services, be aware that product data from other users (e.g., descriptions, images, supplier information) may carry risk or intellectual property issues. These entries are not always pre-vetted or verified.
S&H is not liable for disputes or claims arising from third-party sourcing content and will support you in handling such issues in good faith where possible.

3. Moderation Rights
While S&H does not routinely moderate all user-generated content, we reserve the right to:

Block content that violates our terms or applicable laws
Report and take legal action in cases of deliberate misinformation, defamation, or malicious intent
False or malicious statements made against S&H, its affiliates, or its partners may result in legal recourse.

- Electronic communications (email, SMS, system message): considered delivered once successfully sent
- Paper correspondence: considered delivered on the 10th calendar day following dispatch
3. Legal Document Delivery
In the event of a legal dispute arising from your use of S&H services, you expressly agree that judicial authorities (including courts) may serve legal documents to you via:
- The email address, mobile number, or S&H account provided by you
- Express or registered mail to your designated mailing address
These delivery methods shall be valid throughout all phases of litigation, including:
Initial trial, appeals, retrials, enforcement, and supervisory procedures
If delivery is made through multiple methods, the earliest successful delivery shall prevail.
4. Responsibility for Delivery Failure
If your contact information is incorrect, outdated, or not updated in time—resulting in failed delivery of legal or system notices—you shall bear full legal responsibility for any consequences that arise.

Force Majeure
You acknowledge and agree that certain circumstances beyond the control of Stock & Hill (S&H) may affect the provision of services. In such cases, S&H shall not be held liable for any loss or damage, whether tangible or intangible—including, but not limited to, property damage, income loss, data corruption, or loss of business opportunity—resulting from such circumstances.
S&H shall be exempt from liability and compensation obligations under the following Force Majeure scenarios:
1. Disruptions to Data Transmission
Interruptions in data exchange or communication arising from:
- Failure or malfunction of communication terminals
- Telecommunication facility breakdowns
- Network disruptions caused by uncontrollable external forces
2. Natural or Political Events
System failures or service interruptions resulting from unforeseeable and uncontrollable events, including but not limited to:
- Natural disasters: earthquakes, typhoons, tsunamis, floods, fires, storms
- Man-made disruptions: wars, civil unrest, terrorism, riots, explosions
- Labor and resource shortages: strikes, labor disputes, material supply crises
- Government actions: policies, regulations, or court orders (domestic or international)
3. Epidemic or Pandemic Events
Operational delays, suspensions, or disruptions due to:
- Widespread health crises such as domestic or global pandemics
- Government-imposed quarantines or lockdowns
- Disruptions in transportation, logistics, or supply chain services
- Third-party failure to fulfill commitments due to epidemic-related issues
4. Technical and Security Interruptions
Service disruptions caused by:
- Cybersecurity threats: hacking, viruses, Trojan horses, or other malicious software
- Failures by telecom operators or internet service providers
- Emergency system maintenance, upgrades, or technical failures
- Any other unexpected technical anomalies beyond reasonable control
In all such cases, S&H will make commercially reasonable efforts to mitigate the impact. However, no legal or financial liability shall be incurred as a result of force majeure events as defined above.
Modification of Terms
We reserve the right to update, modify, or amend any part of this User Agreement at our sole discretion. Any new features, tools, or enhancements introduced to the platform shall be governed by the terms outlined in this Agreement.
The most current version of the User Agreement will always be accessible on this page. We may notify you of material changes via email or a prominent notice on the Stock & Hill website. However, it is your responsibility to review this page periodically for any updates.
By continuing to access or use our website, services, or applications after changes are posted, you signify your acceptance of the revised terms. If you do not agree to the updated Agreement, you must discontinue the use of our services immediately.
Dispute Resolution and Applicable Law
This Agreement, including its formation, validity, interpretation, performance, amendment, supplementation, termination, and enforcement, shall be governed by the applicable laws and regulations of the People’s Republic of China. In instances where specific legal provisions are absent, established commercial customs and industry practices may be referenced.
In the event of any dispute arising from or relating to the use of CJ’s services or this Agreement, both parties agree to first seek resolution through amicable negotiation in good faith. Should such negotiations fail to result in a mutual agreement, the dispute shall be submitted to the exclusive jurisdiction of a court located in the jurisdiction where CJ is domiciled, in accordance with Chinese law.
